Retainer Agreement: Web Design Services Sample
FREELANCE SERVICES AGREEMENT (Retainer)
This Agreement is made between Alex Chen Designs, LLC (Consultant), and Acme Marketing Co. (Client).
Why start here: Name your business exactly as registered. Include the client’s legal business name. This prevents “did you sign with the LLC or the individual?” disputes.
1. SCOPE OF WORK
Consultant agrees to provide the following services on a monthly retainer basis:
- Monthly retainer: 20 billable hours for web design, UI updates, and design consultation
- Deliverables: Up to 3 design revisions per project, 1 monthly strategy call (1 hour), and responsive design implementation
What this means: You’re not saying “design stuff.” You’re stating 20 hours, 3 revisions, and specific activities. The client knows exactly what they’re buying. If they need 4 revisions, it’s outside scope.
2. RETAINER FEE AND BILLING
Monthly Retainer: $2,500 USD, due on the 1st of each month.
Payment method: Bank transfer or PayPal
Late payment: If payment is 5 business days late, Consultant may pause work until payment is received.
Why this structure: $2,500 monthly across 20 hours = $125/hour. (Setup and admin eat into billable time, so your real rate is lower. Price accordingly.) Specifying the due date (1st) prevents confusion about timing. The late payment clause protects you. If they pay late, work pauses. This sounds firm but is necessary.
3. HOURS AND TRACKING
Billable hours include time spent on design, revisions, meetings, and email communication related to agreed projects. Time tracking is reported monthly via [Waco3 or your tool], which the Client can access to verify hours.
Hours exceeding 20 per month may be invoiced at $150/hour.
Unused hours do not roll over to the next month.
Why this matters: Transparency builds trust. The client can see you worked those hours. State your tracking method clearly. The $150/hour overage rate is higher than the $125/hour retainer rate to discourage going over. Unused hours don’t roll over either, which stops clients from banking 60 hours in month 3 because months 1 and 2 were light.
4. SCOPE EXCLUSIONS
The retainer does not include:
- Custom illustration or animation
- Copywriting (beyond basic edits)
- Large-scale redesigns or strategy projects (quoted separately)
- Rush turnaround (expedited work bills at 1.5x rate)
- Work on weekends or after 6 PM (available by special request with advance notice)
Why you need this: Clients will test boundaries. Saying “not included” upfront prevents arguments about whether something is “design” (covered) or “strategy” (not). You’re defining your workday too (not responding at midnight).
5. REVISIONS
Each deliverable includes 2 revision rounds. Revisions beyond 2 rounds are billed separately at $150/hour.
Clear boundary: Most disputes happen here. “How many revisions?” is vague. “2 rounds” is not.
6. TERM AND TERMINATION
This agreement is month-to-month. Either party may terminate with 30 days written notice.
Upon termination: Final invoice for any overage hours is due within 7 days. The Client pays for any unused retainer hours in the current month (not refunded).
Why month-to-month: It’s flexible. The client isn’t locked in, and you’re not stuck with a bad fit. But 30 days notice ensures continuity. If you’re 10 hours into a design project and they cancel tomorrow, you’re protected.
7. PAYMENT TERMS
Payment is non-refundable except as specified in the Termination clause. If the Client terminates mid-month but there are no overage hours, the retainer covers time already worked.
Practical point: If they cancel on the 15th with no extra work, they paid $2,500 for 10 days. That’s fair; they had access to you for half the month.
8. COMMUNICATION AND RESPONSE TIME
Consultant responds to emails and messages within 24 business hours. Meetings are scheduled at least 48 hours in advance. Emergency requests (same-day turnaround) are not guaranteed but will be accommodated when possible.
Why you need this: Clients expect instant responses. Setting realistic expectations prevents frustration. “24 business hours” means you can take a weekend without guilt.
9. INTELLECTUAL PROPERTY
All designs created under this retainer belong to the Client upon payment of the retainer fee. Consultant retains the right to display work in portfolio with Client’s written permission.
IP clause: Standard for freelancers. The client owns the work (they paid for it), but you can show it as portfolio examples (with permission). This is fair and protectable.
10. CONFIDENTIALITY
Both parties agree to keep business discussions, strategies, and client information confidential. This applies for 2 years after the agreement ends.
Trust builder: Clients share sensitive information. Promising confidentiality is both legal requirement and courtesy.
11. TOOLS AND ACCESS
Consultant uses Waco3 for project tracking, Google Drive for file sharing, and Slack for communication. Client will be invited to the relevant project workspace.
Practical detail: Specify your tools upfront. Some clients want everything in their Asana instance; others are fine with your system. Clarify expectations.
12. SIGNATURES
By signing below, both parties agree to the terms of this agreement.
