The difference between a past due letter that gets paid and one that gets ignored is tone, structure, and timing. Here’s how to write each stage — from the polite first reminder to the formal demand — with templates you can use today.
The golden rule for past due letters
Keep them short and factual.
Long letters with detailed explanations, emotional appeals, or extended justifications rarely perform better than short, clear ones. A client who genuinely forgot will pay after a brief reminder. A client who’s avoiding payment won’t be moved by a five-paragraph letter. Save your energy for the action steps, not the explanation.
Every past due letter has the same core structure:
- State the situation: invoice #, due date, amount, days overdue
- Provide payment instructions
- State the consequence or next step
Stage 1: Polite first reminder (1–5 days overdue)
The first letter assumes good faith. Most overdue invoices at this stage are due to oversight, a missed email, or an internal delay.

This is a quick reminder that Invoice #[X] for $[amount], due on [date], is now overdue. I wanted to follow up in case it got lost.

Stage 2: Firm second notice (7–14 days overdue)
The client has had your first reminder and hasn’t responded. The tone shifts to more direct. You’re noting that you’ve followed up before.

Short, factual, actionable. You’re asking for a specific date, not just acknowledgment.
Stage 3: Firm notice with deadline (21–30 days overdue)
Three-plus weeks overdue, no payment, possibly no response. This letter sets a hard deadline and notes the consequences of missing it. If you have a late fee clause, this is where you reference it explicitly.

Hi [Name],
Invoice #[X] for $[amount] (originally due [date]) is now [X] days past due. I have sent two previous reminders.

The phrase “formal collection options” is more effective than “I’ll take you to court” — it’s accurate, professional, and prompts more action without sounding emotional. Most clients who receive this message pay before the deadline because they’d rather not find out what those options are.
Stage 4: Formal demand letter (30–45 days overdue)
This is your last internal step before engaging outside help. A formal demand letter is more structured, uses more legal language, and is often best sent by both email and certified mail.

This letter is appropriate for amounts worth pursuing formally (typically $500 and above). For larger amounts or when the client has explicitly disputed the work, consult an attorney.
Adjusting for different client relationships
Long-term client, first time late: Lead with empathy in stage 1 and 2. “I know things get busy — just wanted to make sure this didn’t fall through the cracks.” Move to the firmer template in stage 3 if still unpaid.
New client, first project: Skip extra empathy. Follow the standard sequence promptly. You haven’t built a relationship that warrants extended patience.
Client who disputed the work: Their dispute should be in writing. If they claimed the work was substandard, address that specifically — you don’t have to credit it, but you do need to respond. Disputes are handled separately from the payment process; they don’t automatically stop the clock on the due date.
What to attach to every past due letter
- The original invoice (PDF)
- Your signed contract or proposal (for formal stages)
- A log of previous follow-up attempts (dates and methods)
